How to file an Alabama corporation amendment:

To make amendments to your Alabama corporation, you must provide an original and two copies of Domestic Business Corporation Amendment to Formation/Articles form, to the Judge of Probate in the county where the original Articles of incorporation are filed, by mail or in person, with both the filing fee and recording fee. An original signature is required.

Can you re-state the initial articles instead of filing an amendment?

No, Alabama does not furnish a form for re-stated articles of incorporation.

Are there any specifics you can or can’t include with an Alabama corporation amendment?

As long as board of directors approves the changes, it can be amended. However, if the amendment changes the name, a certificate of name reservation must be attached. If you are simply changing your registered agent, it is cheaper to file the Change of Registered Agent form.

How much does an Alabama corporation amendment cost?

The filing fee for an amendment in Alabama is $50. You will need to call the Judge of Probate Office where your original articles are recorded to learn what the recording fee is. If Northwest Registered Agent is your original registered agent, then your articles are in Shelby County and the recording fee is $30.

How long does it take the state to process an Alabama corporation amendment?

The Judge of Probate must record, certify and transmit the amendment and filing fee to the Alabama Secretary of State within ten days. The Secretary of State will index the certified amendment into their database within one to two weeks after they receive it.

How will the corporation amendment be returned?

You will receive a certified copy of the filed amendment by mail from the Office of Judge of Probate.
