Incorporating Alabama Corporations

What is an Alabama corporation?

Alabama corporations are separate legal entities established by the shareholders. The shareholders elect to have an incorporator make the action to incorporate an Alabama corporation to create a separate entity from them personally.

How much do Alabama corporations cost?

An Alabama corporation will cost a $100 to file articles of incorporation with the state and a $50 minimum Probate Judge fee (you will need to contact the judge of probate to verify filing fees.)  Our county is $50.

How to form Alabama corporations:

If you choose to reserve your corporate name, the Alabama Secretary of State, will take about 3 days to process your corporation's name reservation unless you pay an extra $25 and then they will process in 24 business hours or less. Once you receive acceptance from the secretary of state for your name reservation, you send your corporate forms to the county of your Alabama registered agent.  Then it will take about 7-10 business days to process your AL corporation articles of incorporation at the county level.  (Our county is only 1 day.)  The county will forward your AL corporation papers to the state and it will take another 7-10 business days unless you pay an extra $100 and then the Alabama SOS will process your AL corporation papers in 3 business days. If you need a federal tax ID number, that can be obtained online immediately with the IRS.

How are Alabama corporations regulated:

Alabama corporations are governed by the Code of Alabama 1975 - Title 10, Chapter 2A-2B Business corporations.

Alabama corporations require:

A name reservation, an incorporating Alabama ending such as inc, corporation, or incorporated, a perpetual status, a corporation purpose, an amount of Alabama corporation shares you would like to authorize, the amount of shares you are issuing, the name and address of the Alabama corporation directors, the date you would like the AL corporation executed, the name and address of the Alabama incorporator, and the registered agent of the proposed Alabama corporation.
