How to file an Alaska LLC Amendment:

To make amendments to your limited liability company in Alaska, you must provide the completed Articles of Amendment Domestic Limited Liability Company form, in duplicate, to the Division of Corporations, Business, and Professional Licensing by mail, fax or in person. If faxing your request, a Credit Card Payment Form is required. You may also include the form if you mail the amendment and want to pay by credit card. You may also include a check or money order payable to the State of Alaska. Filings do not need to have original signatures. The Division will accept faxed signatures.

Can you re-state the initial articles instead of filing an amendment?

Yes. If you wish to re-state the initial articles you must file the Restated Articles of Organization Limited Liability Company form, in duplicate, and pay the $25 filing fee.

Are there any specifics you can or can’t include with an Alaska LLC amendment?

You can make changes to the business name and articles directly on the form.

But you can’t change your Alaska LLCs registered agent, members/managers, or principal address by filing an amendment.

How much does an Alaska limited liability company amendment cost?

To amend your LLC in Alaska, there is a $25 filing fee required.

Expedited service is not available.

How long does it take the state to process an Alaska limited liability company amendment?

Normal processing takes 10-15 business days, plus additional time for return mailing.

You will receive a file stamped copy by mail.

No. You can change your members or managers information on the Notice of Change of Members and/or Mangers form at no charge.

Can you change the Alaska registered agent on the amendment?

No. You must file the Statement of Change Registered Agent or Registered Agent Address (form #08-615)form to change your registered agent information.

Can you change the principal office address and/or the mailing address on an LLC amendment?

The best way to change your principal office address and/or mailing address is on your biennial report form.
