What is the cost of the Delaware Franchise Tax and Annual Report?
Delaware Department of State accepts check or credit card payments.
- DE Corps-domestic: minimum $125 depending on authorized shares. ($50 annual report fee plus $75 minimum franchise tax fee. The maximum tax is $180,000!)
- DE Professional Service Corp: minimum $125 depending on shares.
- DE Corps-foreign: $125 annual report fee.
- DE Nonprofit Corporations: $25 annual report fee.
- DE LLCs, LPs and GPs-domestic and foreign: $250 annual tax.
- DE LLPs and LLLPs-domestic and foreign: $200 per partner annual report fee.
What are the Annual Franchise Tax requirements in Delaware?
Delaware has an Annual Report that is combined with a Franchise Tax for domestic corporations. Limited liability companies, limited partnerships and general partnerships file no annual report, but file an annual flat-rate tax. Delaware Nonprofits, LLPs and LLLPs file just an annual report. The Delaware Division of Corporations delivers your annual report notice three months ahead of your due date to your Delaware registered agent. To remain in good standing in Delaware, your business will need a dependable registered agent that you can rely on. ‘Northwest’ not only uploads and notifies you the day your report is received from the state, we also email you two more reminders before your due date.
Domestic Delaware Corporations: Annual Reports are combined with the Annual Franchise Taxes for domestic corporations in Delaware. They must be filed electronically by March 1st. You can find the link to the online portal below. Just click ‘ANNUAL REPORT’ and fill in the fields, figure your tax, furnish your credit card information and submit it. You can calculate your Delaware franchise tax by one of two methods: Authorized Shares Method or Assumed Par Value Method. Most corporations use the first method; large corporations generally save money using the second method. Foreign Corporations in Delaware: DE foreign corps must fill out the annual report and mail it in with their filing fee by June 30th each year. Again, the Delaware Division of Corporations sends it to your registered agent.
Delaware Professional Service Corporation: File the same Annual Report and Franchise Tax online by March 1st as other Delaware Corporations based on authorized shares.
Delaware LLCs, GPs and LPs: Delaware LLCs, GPs and LPs, both domestic and foreign, pay an annual tax. It may be paid online at the link below or mailed to the Delaware Division of Corporations with the notice and a check for the annual tax. File the DE annual tax by June 1st.
Delaware LLPs and LLLPs: These limited liability partnerships must send in their annual report and fee by mail to the Delaware Division of Corporations. These reports are only available for downloading from Division website. File your Delaware annual report no later than June 1st. A link is furnished below. All other Delaware reports or tax notices are sent to the registered agent office.
DE Charities: Charities have no registration or reporting requirements in Delaware.
Statutory Trusts: No annual report requirements for trusts in Delaware.
