How to file a Delaware LLC Amendment:

To make amendments to your limited liability company in Delaware, you must provide the completed Certificate of Amendment for Limited Liability Company form to the Department of State by mail, fax or in person, along with the filing fee. Also, include the Filing Cover Memo with your name, address and telephone/fax number to enable them to contact you if necessary.

Can you re-state the initial articles instead of filing an amendment?

Yes. The filing fee for a restated certificate is $200. If you wish to re-state the initial articles you must draft your own restated articles. There is no form available for restated articles.

Are there any specifics you can or can’t include with a Delaware LLC amendment?

The original articles of organization may be amended as desired; however, you must use the Statement of Agent Change form to change your original registered agent named in your articles of organization.

How much does a Delaware Limited Liability Company amendment cost?

To amend your LLC in Delaware, there is a $200 filing fee required.

You may request expedited processing for an additional $1000 for one-hour service, $500 for two-hour service, $200 for same day service, or within 24 working hours for an additional $100 fee.

How long does it take the state to process a Delaware Limited Liability Company amendment?

Processing of an amendment will take approximately two to three weeks. Expedited service is available in one hour, two hours, same day or 24 working hours depending on the service requested.

How will the LLC amendment be returned?

You will receive a confirmation copy of your amendment by the return service method that you indicate on your filing cover memo.

Can you change the Delaware LLC members or managers on an amendment?

The Delaware Department of State does not require limited liability companies to provide member/manager information.

Can you change the Delaware registered agent on the amendment?

No, use the proper Certificate of Registered Agent Change form.

Can you change the principal office address and/or the mailing address on an LLC amendment?

The Delaware Department of State does not keep principal office or mailing address information on file.
