To make amendments to your limited liability company in Florida, you must provide the completed Cover Letter and Articles of Amendment to Articles of Organization forms and filing fee to the Department of State by mail or in person.

Can you re-state the initial articles instead of filing an amendment?

Yes. If you wish to re-state the initial articles organization you must draft your own. They do not provide a form for this type of filing. However, you may use the amendment cover letter form as your cover page for any restated articles filing.

Are there any specifics you can or can’t include with a Florida LLC amendment?

You can make changes to the original articles of organization, LLC name, business address, registered agent information, as well as the name and address of the managers/members directly on the form.

How much does a Florida Limited Liability Company amendment cost?

To amend your LLC in Florida, there is a $25 filing fee required.

How long does it take the state to process a Florida Limited Liability Company amendment?

Your amendment will be processed in approximately one week, unless you deliver your amendment in person and request same day service. There is no charge for the in-person, same-day service request.

A letter of acknowledgment will be issued after the amendment has been filed. You will also be able to print a copy directly from their website.

Can you change the Florida LLC members or managers on an amendment?

If you need to make changes to your company’s members and/or managers before May 1st, it is best to do it on the annual report. If you have already filed your report for the current year, you may file an amended annual report form. All annual report filings must be submitted online.

Can you change the Florida registered agent on the amendment?

Yes. If you are changing your registered agent, the signature of the new registered agent is required.

Can you change the principal office address and/or the mailing address on an LLC amendment?

Yes. However, you can also change the principal office address and/or the mailing address by emailing the change to:
