How to file a Georgia LLC Amendment:

Georgia is sort of weird when it comes to amending your LLCs articles of organization. The only change you can make on the amendment form is a name change. To change your LLCs name, you simply submit form CD-110, Articles of Amendment to Articles of Organization to the Georgia Secretary of State, Corporations Division (SOS) by mail or in person. The SOS form is optional; you may draft your own amendment. If you file by mail or in person, the SOS accepts check, certified bank check, or money order. Make checks payable to “Secretary of State.” The SOS does not accept cash.

Other changes can only be made on the LLCs annual registration. The annual registration can be filed online or you can print the form from the website (see link below). You can update your information as many times as you want during the year by filing another registration and paying the fee. If you file the annual registration online, you can pay by credit card. The Georgia SOS accepts Visa, MasterCard, American Express, and Discover. You may pay with an ATM or debit card if it has a Visa or MasterCard logo.

Can you re-state the initial articles instead of filing an amendment?

You may restate the Georgia LLCs articles of organization. You would have to draft your own restated articles.

Are there any specifics you can or can’t include with a Georgia LLC amendment?

You can change your Georgia LLCs name by filing articles of amendment.

You can update information when you file the annual registration, but the only information that LLCs have to report is the registered agent/office and the principal office address. You can file as many registrations as you need throughout the year, but you have to pay a separate fee for each one.

Amendments take seven to ten business days to process. It could be up to twelve business days during periods when the SOS is very busy.

Can you change the Georgia LLC members or managers on an amendment?

Georgia LLCs are not required to list their members and managers with the SOS, so there is no filing to change them.

Can you change the Georgia registered agent on the amendment?

No. The only way to change the LLCs Georgia registered agent is on the annual registration.

Can you change the principal office address and/or the mailing address on an LLC amendment?

No. The only way to update the principal address is on the annual registration.
