How to file a Hawaii LLC Amendment:

To make amendments to your Hawaii limited liability company, submit Form LLC-3, Hawaii Articles of Amendment of Limited Liability Company to the State of Hawaii Department of Commerce, Business Registration Division (BREG).

The amendment can be filed with BREG by mail, fax, or in person. You can mail in the form with a check or walk-in with check or credit card. To file by fax, the documents must include legible signatures, the amount of the charge, the sender’s credit card and contact information, and must specify regular or expedited review.

Make checks payable to Department of Commerce and Consumer Affairs.

Can you re-state the initial articles instead of filing an amendment?

Hawaii has two separate forms for restating the articles of organization. If you want include a new amendment, you cannot do it as a restatement of the articles. You must amend and restate the articles.
There is a filing fee of $25 for either restatement form.

Form LLC-4, Hawaii Restated Articles of Organization allows you to supersede the previous articles and amendments, but the Restated Articles of Organization cannot contain any new amendments. The Hawaii Restated Articles of Organization can only contain the corresponding articles as previously amended.

Form LLC-5, Hawaii Amended and Restated Articles of Organization supersedes the original Articles and amendments thereto.
