To make amendments for your limited liability company in Idaho, you submit the completed Amendment to Certificate of Organization Limited Liability Company form in duplicate, with the filing fee to the Secretary of State by mail, fax or in person.

Yes. If you wish to re-state the initial articles you must use the Restatement of Certificate of Organization Limited Liability Company form.

Are there any specifics you can or can’t include with an Idaho LLC amendment?

You can change your company name, your mailing address, and you may add or delete managers/members directly on the form.

How much does an Idaho Limited Liability Company amendment cost?

To amend your Idaho LLC, there is a $30 filing fee required.

Expedited service is available for an additional $20 fee.

Your amendment will be processed by the Idaho Secretary of State in approximately one week unless you expedite it and then it is processed in one day.

Can you change the Idaho LLC members or managers on an amendment?

Yes.

Can you change the Idaho registered agent on the amendment?

Idaho does not allow for registered agents to be changed on an amendment. You will need to use the Statement of Change of Registered Agent form. However, you may change your registered agent on the Restatement of Certificate of Organization Limited Liability Company. If you change your agent on the Restatement, the new registered agent MUST sign.
