How to file an Iowa LLC Amendment:
Submit amendments to the Iowa Secretary of State, Business Services Division (SOS). Iowa SOS does not provide a form for amendments to the articles of organization. You can draft your own amendments to the articles. The amendment must include the name of the company, date of filing of the certificate of organization, and changes to be made.
You may file amendments by mail, fax, or in person. Make checks for fees payable to the Secretary of State.
Can you re-state the initial articles instead of filing an amendment?
You may restate your domestic LLCs Iowa Certificate of Organization. You just deliver a statement that includes all of the elements of an amendment (listed above) as well as:
- A designation in the heading that the document is a restatement
- The company's former names
- Any changes that the restatement makes to the certificate
Are there any specifics you can or can't include with an Iowa LLC amendment?
There is no Iowa SOS form, so LLCs can draft an amendment for anything that is allowed to be in the articles of organization.
