How to file a Kansas LLC Amendment:

The Kansas Secretary of State (SOS) allows online filing.  You can amend your Kansas articles of organization by filing electronically on the Kansas.gov Business Center website.  You can get there by going to the SOS website and clicking on “Business Filing Center” link.  Then you can choose to file the amendment. You will need to know business entity name and/or business entity I.D. number from the Secretary of State. You can pay for online filing by credit card or checking account.

If you choose not to file online, the forms you need are available on the Kansas SOS website or in your client account when you sign up with Northwest.  File the Limited Liability Company Certificate of Amendment with the Kansas SOS.  Submit one original for filing.  After processing, it will be mailed to the LLC.  Fax filing is available for an additional $20 fee.

Can you re-state the initial articles instead of filing an amendment?

You may include a new amendment to the articles of organization when you restate them.  If you do include a new amendment in the restatement, the heading must read, “amended and restated articles of organization.”

How long does it take the state to process a Kansas Limited Liability Company amendment?

Processing normally takes the Kansas SOS 2 to 3 business days. Online filings are processed by the SOS immediately.

Submit one certificate of amendment for filing. After processing the SOS will return it by mail.

Do not file an amendment to reflect a change in members or managers. Changes to members and managers should be updated on the annual report.

Yes. Resident agent and registered office information may be changed by filing an amendment with the SOS.

Can you change the principal office address and/or the mailing address on an LLC amendment?

Mailing address information is to be updated on the annual report.
