How to file an amendment for a Maryland Corporation with the Maryland State Department of Assessments and Taxation

How to file a Maryland Corporation Amendment:

To amend your Maryland corporations charter, just file Articles of Amendment by mail, in person or by fax with the Maryland State Department of Assessments and Taxation (SDAT). Using forms provided by SDAT is optional. Maryland corporation Articles of Amendment must be typed. If you fill out SDAT forms by hand, they will be rejected. Maryland does not require original signatures on your filings. Checks should be payable to the Maryland State Department of Assessments and Taxation.

Although fax filings are automatically charged an expedite fee, we recommend this method because it is so much faster than filing by mail. If you fax file, include an Expedited Request by Fax Cover Sheet and your Visa or MasterCard information.

If you mail the amendment, you have to include a check for fees. You can file your amendment in person at the SDAT counter between 8:30 and 4:15. In person filings are expedited. If you file in person, you can pay by check, cash, or money order. Make checks payable to the State Department of Assessments and Taxation.

Can you re-state the initial articles instead of filing an amendment?

Yes. You can submit a complete restatement of the corporate charter and that becomes the new charter. The restatement can include a new amendment if it was approved the same way an amendment would have to be.

The filing fee for Articles of Restatement is $100.

Are there any specifics you can or can’t include with a Maryland Corporation amendment?

You can change pretty much any information by filing a Maryland Corporation amendment. File an amendment to your corporate charter if you want to change your corporations name, duration, or purpose. You can also file an amendment to increase the shares of stock.

How much does a Maryland Corporation amendment cost?

If you want to amend your Maryland articles of incorporation there is a $100 filing fee.
If you are increasing your corporations stock, you have to call Maryland SDAT at 410-767-1340 to determine additional fees.

Expedited service is available for an additional $50.

How long does it take the state to process a Maryland Corporation amendment?

Normal processing takes the Maryland SDAT at least 8 weeks. You won’t get a filing confirmation from them for at least 10 weeks. We really recommend that you pay for expedited processing which is completed within 7 business days.

Mailed documents are processed normally, unless you request expedited service and pay the fee. If you wish to expedite processing of mailed documents write “EXPEDITED SERVICE REQUESTED” on a cover letter and the envelope.

Walked in documents get expedited processing. So there is an additional fee, but you can have your documents processed the same day if you submit them by 4:15.

Faxed documents are automatically expedited, so the SDAT will charge the fee to the card you pay with. It takes the Maryland SDAT about 7 business days to process faxed documents.

How will the Maryland Corporation amendment be returned?

Put your return address on the amendment form. The Maryland SDAT will only return the filed original by mail if you pay an additional $5 fee. If you do not request the return and include the fee, the SDAT will just destroy the original. You can, however, view and print your documents by searching the Maryland Business Database.

Can you change the Maryland Corporation officers or directors on an amendment?

Yes. You can change the corporations officers and directors by filing an amendment to your articles of incorporation.

Can you change the Maryland registered agent on the amendment?

You can change your Maryland resident agent by filing an amendment, but if that is the only change you have to make, it is really smarter to just file a Change of Resident Agent form. That form only costs $25 to file.

Can you change the principal office address and/or the mailing address on an Corporation amendment?

You can file an amendment to change your Maryland corporations principal address, but if that is the only change you have to make, it is cheaper to just file the Change of Principal Office form. The filing fee for a change of principal office is only $25.

Changing your principal address on record with SDAT will not change the address where the state sends your Personal Property Annual Report. To change the address where you want them to send the report, send a letter with your old and new addresses and SDAT ID number to:
