What is a Maryland corporation?

Maryland corporations are separate legal entities established by the shareholders. The shareholders elect to have an incorporator make the action to incorporate a Maryland corporation to create a separate entity from them personally.

How much do Maryland corporations cost?

A Maryland corporation will cost $125 to file the articles of incorporation. This fee includes the $100 SDAT filing fee, the $20 organization/capitalization fee, and the $5 document return fee.

How to form Maryland corporations:

It will take the Maryland State Department of Assessments and Taxation (SDAT) about 8 weeks (plus mail time) to process your Maryland incorporation if you file by mail.

We highly recommend faxing your filing and paying the $50 fee to expedite. That way SDAT will process the incorporation in about 7 days.

Maryland charges a $5 fee if you want your filed document returned to you. If you do not pay the fee, you get nothing back.

If you need a federal tax ID number, that can be obtained online immediately with the IRS.

How are Maryland corporations regulated?

Maryland Corporations are governed by Maryland Code – Corporations and Associations, Titles 1-7.

 Maryland corporations require:

  • The name and address of the incorporator.
  • The Maryland Corporation must have a corporate ending such as INC, Incorporated, Corporation or a different variety.
  • The Maryland corporation name must be different than already registered Maryland corporations.
  • The purpose of the Maryland Corporation.
  • The street address of the principal office of the corporation.
  • The name and office address of the registered/resident agent in Maryland.
  • The value of and number of shares the Maryland Corporation is authorized to issue.
  • The number of directors of the Maryland Corporation and their names.
  • The Maryland incorporator and resident agent must sign the articles of incorporation.
  • The filing party's contact information.
