How to file a Minnesota corporation Amendment:

Minnesota Secretary of State (SOS) accepts filings made in person, by mail, or online. The Minnesota SOS accepts cash or check for paper filings and check or credit card for electronic filings.

To file in person or by mail, submit the Amendment of Articles of Incorporation to the Minnesota SOS. The form you need to amend your articles of incorporation is in your online account when you sign up for registered agent service with Northwest.

Keep the original copy and submit a legible photocopy to the SOS.

Can you re-state the initial articles instead of filing an amendment?

Minnesota SOS accepts both individual amendments and restated articles. If an amendment restates the articles, it must meet the Minnesota the same requirements as a corporate amendment.

You can file an amendment to update any information required or permitted to be included in the articles of incorporation.

The Minnesota SOS sends filed documents and a packing slip back to the corporation after they have been filed. The corporation should receive the filed amendment about seven to ten business days after filing.

Can you change the Minnesota corporation officers or directors on an amendment?

Minnesota corporations do not usually register officers with the SOS. The Minnesota SOS Articles of Incorporation form does not have a space for officers or directors. Minnesota only requires that the CEO be listed on the annual renewal. However, if you submit custom articles of incorporation, you may include officers and directors. Basically, they are not required to be listed in the articles, but you can change them with an amendment.

Can you change the Minnesota registered agent on the amendment?

Yes, you are allowed to file an amendment in order to change your corporation’s Minnesota registered agent.

Can you change the principal office address and/or the mailing address on a corporation amendment?

No, there is not a space for the corporation to update its business address on the amendment form.
