How to file a Minnesota LLC Amendment:

The Minnesota Secretary of State (SOS) allows filing in person, by mail, or online. The Minnesota SOS accepts cash or check for paper filings and credit card or check for electronic filings. Makes checks for fees payable to “MN Secretary of State”.

To file by mail or in person, submit either the Minnesota Amendment of Articles of Organization for a Limited Liability Company to the SOS. The form you need to amend your articles is available in your online account when you sign up for registered agent service with Northwest.
Keep the original copy and submit a legible photocopy to the SOS.

Can you re-state the initial articles instead of filing an amendment?

Minnesota SOS accepts either amendments or restated articles. If an amendment does restate the articles, it must meet the same requirements as an LLC amendment.

Are there any specifics you can or can’t include with a Minnesota LLC amendment?

A Minnesota LLC amendment must be filed if you want to change any information that is within the articles of organization.

How much does a Minnesota Limited Liability Company amendment cost?

There is a $35 filing fee for Minnesota LLC amendments.
There is an additional $10 charge to file online using Minnesota Business Express Services.

How long does it take the state to process a Minnesota Limited Liability Company amendment?

SOS document processing takes 5-7 business days.
Online filings are processed within one business day.
Walked in documents are processed while you wait.

How will the LLC amendment be returned?

Filed documents and a packing slip are mailed to the LLC after they have been processed. You should receive the documents 7-10 business days after filing.

Can you change the Minnesota LLC members or managers on an amendment?

Minnesota does not require that LLCs register all of their members and managers with the SOS. They only ask for a Chief Manager, who is listed on the annual renewal. However, if you submit custom articles of organization, you may include members and managers. Basically, they are not required to be listed in the articles, but you can list them and make changes with an amendment.

Can you change the Minnesota registered agent on the amendment?

Yes. You can change your limited liability company’s Minnesota registered office and agent on the amendment form.

Can you change the principal office address and/or the mailing address on an LLC amendment?

Yes, you can change the business’s mailing address on the amendment form.
