How to file a Mississippi corporation amendment:

To amend your Mississippi articles of incorporation, you just file one original F0012-Articles of Amendment form. Include the text of your amendment on a separate page. We provide the form in your Mississippi registered agent online account. The amendment has to be signed by an officer. Submit the articles by mail or in person to the Office of the Mississippi Secretary of State (SOS). Include a check payable to the "Secretary of State."

Can you re-state the initial articles instead of filing an amendment?

Yes, you can restate the articles of incorporation. You may need shareholder approval if the restated articles also include a new amendment. There isn’t a Mississippi SOS form but your arrticles of restatement should include the name of the corporation and the text of the restatement, and a statement indicating that the document consolidates all previous amendments and/or includes a new amendment.

There is a $50 filing fee to restate your Mississippi articles of incorporation.
