Step by step guide to Missouri Corporation amendments

How to file a Missouri Corporation Amendment:

To make amendments to your Missouri Corporation, you must provide the completed Amendment of Articles of Incorporation form.

Can you re-state the initial articles instead of filing an amendment?

If an error was made (such as a misspelling or incorrect address) in your initial filing, you can file a Statement of Correction form. If your articles of incorporation need to change, you’ll need to file the Amendment of Articles of Incorporation form.

Are there any specifics you can or can’t include with a Missouri Corporation amendment?

The articles of incorporation may be amended however you’d like, as long as the amended articles of incorporation contain only provisions that may be lawfully contained in articles of incorporation (in Missouri) at the time of filing your amendment.

How much does a Missouri Corporation amendment cost?

To amend your corporation in Missouri, a $25 filing fee is required.

How long does it take the state to process a Missouri Corporation amendment?

If you send in your paperwork by mail or fax, it takes 4-7 working days, plus additional time for return mailing.
(In our experience, faxing to a regional office results in quicker processing times.)

Paperwork can be dropped off in person and processed in 1-2 days, sometimes even the same day.
Expedite Processing: Not available, for fastest processing without a personal trip – fax your paperwork to one of the regional offices – see below.

Once processed, you will receive a confirmation copy of the change by mail. You will also be able to print a copy directly from their website.

How will the corporation amendment be returned?

You will receive a confirmation copy of the amendment by mail. You will also be able to print a copy directly from their website.

Can you change the Missouri registered agent on the amendment?

You are not able to change your registered agent on the Amendment form. You will need to provide the completed Statement of Change of Registered Agent form, to the Secretary of State by mail, fax or in person. There is an additional $10 fee required.

Can you change the principal office address and/or the mailing address on a corporation amendment?

That’s not really what it’s for. To change the address you should file a: Statement of change of Registered Agent and/or Registered Office by a Foreign or Domestic For Profit or Nonprofit Corporation or a Limited Liability Company. There is a $10 filing fee.
