Step by step guide to Missouri LLC amendments

How to file a Missouri LLC Amendment:

To make amendments to your limited liability company in Missouri, you must provide the completed Amendment of Articles of Organization form to the Secretary of State by mail or in person.

Can you re-state the initial articles instead of filing an amendment?

Yes... If you wish to make a correction to the initial articles you must use the Statement of Correction for Limited Liability Company form, which would be the same as re-stating your initial Missouri LLC Articles of Organization.

Are there any specifics you can or can’t include with a Missouri LLC amendment?

You can make changes to your Articles of Organization. In addition, you may change the name, the date of dissolution and change whether management is vested or not.

How much does a Missouri Limited Liability Company amendment cost?

To amend your LLC in Missouri, a $25 filing fee is required.

To file a Statement of Correction for Limited Liability Company, there is a $10 fee.

How long does it take the state to process a Missouri Limited Liability Company amendment?

Normal Processing: 4-7 working days, plus additional time for return mailing.
Fax Processing: 4-7 working days, plus additional time for return mailing. (In our experience, faxing to a regional office results in quicker processing times.)
In-Person Processing: 1-2 working days sometimes same day, plus additional time for return mailing.
Expedite Processing: Not available, for fastest processing without a personal trip – fax your paperwork to one of the regional offices – see below.

Once processed, you will receive a confirmation copy of the change by mail. You will also be able to print a copy directly from their website.

Can you change the Missouri LLC members or managers on an amendment?

Yes. It would be a change to your original articles of organization so you'd use the amendment form, not the correction form.

Can you change the Missouri registered agent on the amendment?

You are not able to change your registered agent on the Amendment form. You will need to provide the completed Statement of Change of Registered Agent form, to the Secretary of State by mail, fax or in person. There is an additional $10 fee required. (See Change Registered Agent page.)

Can you change the principal office address and/or the mailing address on an LLC amendment?

That’s not really what it’s for. To change the address you should file a: Statement of change of Registered Agent and/or Registered Office by a Foreign or Domestic For Profit or Nonprofit Corporation or a Limited Liability Company. There is a $10 filing fee.
