How to file a New Mexico LLC Amendment:

To make amendments to your domestic limited liability company in New Mexico, submit Form DLLC-AM, Articles of Amendment to the Articles of Organization and a duplicate copy to the New Mexico Public Regulation Commission (PRC). The form is online (see link below).
To amend your foreign LLC in New Mexico submit form FLLC-AM, Application for Amended Certificate of Registration and one duplicate copy to the PRC.  You must also include an originally authenticated copy of the amended articles of organization filed in the home state.  The application for amendment is online (see link below).  

The form you need is in your account when you sign up for registered agent service with Northwest.

Can you re-state the initial articles instead of filing an amendment?

You can restate the articles, but you can’t include any new info. The restated articles supercede the original articles and all prior amendments and restatements.
The filing fee to restate the articles of organization is $50. 

Are there any specifics you can or can’t include with a New Mexico LLC amendment?

You must file an amendment to reflect any change in the name of the limited liability company, or to whether the company is managed by members or managers. You may amend the articles in any way, so long as the Articles of Organization as amended contain only provisions that would be allowed in Articles of Organization.

How much does a New Mexico Limited Liability Company amendment cost?

To amend your LLC in New Mexico, there is a $50 filing fee required.  
Expedited filing is available.  Your withdrawal can be processed on the day it is received (if before 2:00 pm) for an additional fee of $300. You withdrawal can be processed within two days of receipt for an additional $200 fee. If you choose expedited filing, remember to attach the Request for Expedited Filing and separate payment.  The request form is online (see link below).  You can also find the form in your account when you sign up for registered agent service with Northwest.

How long does it take the state to process a New Mexico Limited Liability Company amendment?

Normal Processing takes up to 15 days.
There are two options for expedited processing.  The first will have your document processed the same day it is received.  The second option takes two business days.

How will the LLC amendment be returned?

The PRC will return the duplicate copy and a Certificate of Amendment for the company’s records.

What state agency do you file a New Mexico LLC amendment with?

New Mexico requires original signatures so you can only file by mail or in person.

Can you change the New Mexico LLC members or managers on an amendment?

Yes, you can change your LLCs members and managers by amending your articles of organization.

Can you change the New Mexico registered agent on the amendment?

No. You should file the change of agent form which is available on the PRC website (see link below).
The form is also in your online account when you sign up for registered agent service with Northwest.

Can you change the principal office address and/or the mailing address on an LLC amendment?

To change the principal place of business and/or mailing address of your New Mexico LLC, simply submit a written request, signed by a member or manager. There is no fee.
