Should my New Mexico LLC be single member, multiple member, member managed or manager managed?

This can vary so greatly on your situation. It's not our job to really decide this for you. Here are a couple common situations that may help you decide.

LLCs can be member managed or manager managed. Managers don't have to be members.

Times when single member managed is best:

  1. It's only you that owns the LLC and you're not worried about creditors of you personally.

Times when multiple member managed is best:

  1. You're married and you have a lot of debt in your name, but your spouse does not. Listing you and your spouse as members allows some flexibility in distributions should one of you get a judgment against you and a court awards an assignment of your interests. You could choose to only distribute to the other member.
  2. If there's two or more unrelated people that are going into business together you will have to be multiple member managed. This scenario would also rely on all members being active in the company management and there being no "Silent" investors that aren't apart of day to day affairs of the business.

Times when manager managed is best:

  1. Technically a manager is not a member. Even if you're just a single member, one man show, if you call your LLC manager managed, you can be the manager, and tell people that your role in the company is a manager. You may not have to disclose to as many people that you're the owner. Manager managed is a little more private, even if it's just you as the member and manager.
  2. If you're a parent and want to run the LLC and be in charge of it, but want to have your kids be the owners (Members.)
  3. If you have investors in the New Mexico LLC that aren't involved in day to day affairs of the business, you would have to have it manager managed.
  4. If you are establishing multiple layers of LLCs. You would be listed as the manager and your Wyoming LLC would be the member.
