How to file a North Carolina LLC Amendment:

To amend a North Carolina LLCs articles of organization, you file form L-17, Limited Liability Company Amendment of Articles of Organization with the North Carolina Secretary of State, Corporations Division SOS. You can submit the amendment by mail or in person.

It’s a good idea to include a Coversheet for Corporate Filings (required for over the counter) because this is how you request expedited processing and your method of return. North Carolina LLC amendment forms are in your online account when you sign up for registered agent service with Northwest. Forms are also available on the North Carolina SOS website (see link below). You do not have to file the SOS amendment form; you are allowed to draft your own. You do not need to have original signatures on the amendment.

Include payment when you mail or walk in your documents. The SOS accepts cash, certified checks, money orders, business or personal checks with address and telephone number. Please make checks payable to the North Carolina Secretary of State. The SOS does not accept credit cards.

Can you re-state the initial certificate instead of filing an amendment?

Yes. You would just file Articles of Restatement (Limited Liability Company) with the SOS. The restatement may include a new amendment as long as it has the necessary approval. The filing fee to restate the articles of organization is $10. If the restatement includes a new amendment, the filing fee is $50.

Are there any specifics you can or can’t include with a North Carolina LLC amendment?

A North Carolina LLC has to amend its articles if it changes its name or duration.

You may file an amendment to change the LLCs North Carolina registered agent. You may also change the LLC from member managed to manager managed and vice versa.

How much does a North Carolina Limited Liability Company amendment cost?

There is a $50 filing fee to amend a North Carolina LLCs articles of organization.
Same day expedited processing will cost an additional $200.
24 hour expedited processing will cost an additional $100.

If you are only changing basic information (registered agent, principal address, etc.) then it is cheaper to make those changes on the annual report or file the change of agent form.

How long does it take the state to process a North Carolina Limited Liability Company amendment?

North Carolina LLC amendments are processed by the North Carolina SOS in 7-10 business days.
Same day expedite service is available if you submit documents by noon.
24 hour expedite service is also available, unless you submit during a weekend or holiday.

How will your LLC amendment be returned?

If you provided a cover sheet including the e-mail address, the Secretary of State will e-mail a certified copy as soon as the document is filed. If you did not request an e-mail, it will be sent by regular mail.

Can you change the North Carolina LLC members or managers on an amendment?

Yes. You can amend any of the original articles or add any optional information.

North Carolina LLCs can also add, edit, or delete the members and managers on the annual report.

Can you change the North Carolina registered agent on the amendment?

Yes. You can change the LLCs registered agent when you file an amendment.

You can also change the registered agent by filing a change of agent form or on the annual report. Remember that if you try to change your North Carolina registered agent during the online annual report, you will have to print the form and get the registered agents signature.

Can you change the principal office address and/or the mailing address on an LLC amendment?

Yes. You can just amend the article containing that information.

North Carolina LLCs must list principal office information (physical and mailing address) on the annual report.
