To make amendments to your limited liability company in Ohio, you must provide the completed Domestic Limited Liability Company Certificate of Amendment or Restatement form (543a) to the Secretary of State by mail or in person.

Yes. If you wish to re-state your initial articles you use the same form, just check a different box.

Are there any specifics you can or can’t include with an Ohio LLC amendment?

You can file an amendment to change the name of your LLC, or its’ period of existence. If any other information that is set forth in the original articles of organization changes, is discovered to be materially false or inaccurate – a certificate of amendment would need to be filed within 30 days.

An update to your statutory agent would NOT be filed as an amendment. Instead, you would use the Statutory Agent Update form.

How much does an Ohio Limited Liability Company amendment cost?

To amend your LLC in Ohio, there is a $50.00 filing fee.

Expedited service within 2 business days is available for a $100.00 fee.

How long does it take the state to process an Ohio Limited Liability Company amendment?

Can you change the Ohio LLC members or managers on an amendment?

Yes. You would have to put a check in the little box that says, “Check here if additional provisions are attached.” Then, submit the changes on a single-sided 8 ½” x 11” sheet of paper.

Can you change the Ohio registered agent on the amendment?

You are not able to change your statutory agent on the Domestic Limited Liability Company Certificate of Amendment or Restatement form.

However, you are able to change your statutory agent information on the Statutory Agent Update form. The filing fee for that is $25.00

Can you change the principal office address and/or the mailing address on an LLC amendment?
