How to resign as registered agent in Georgia:

To resign as a registered agent in Georgia, you just have to sign and deliver a statement of resignation to the Georgia Secretary of State, Corporations Division. There is no form to resign. You just draft your own statement. Obviously, it should include the name of the registered agent, the name of corporation or LLC, its Georgia business entity control number, and an address where you have forwarded a copy of the statement.

Do you have to notify the Georgia entity you’re serving as registered agent for before you resign or after?

Yes. You have to notify the corporation or LLC before you submit the statement of resignation to the SOS. All this really means is that you have to mail or deliver the notice on or before the date you file the statement with the SOS.

Corporations:
Registered agents have to mail or deliver written notice of their intention to resign to the corporations CEO, CFO, secretary or comparable officer at the address listed in the latest annual registration. If the corporation has not yet filed a registration, the notice is sent to an officer as listed in the articles of incorporation.

LLCs:
The registered agent must deliver or mail written notice of their intent to resign to the LLC at the most recent mailing address of the LLCs principal place of business in Georgia, as listed with the SOS. The notice must be mailed or delivered on or before the date the Georgia registered agent files the statement of resignation with the SOS.

How long will it take the state to process the Georgia resignation of registered agent filing?

The Georgia SOS takes seven to ten business days to process documents.

The appointment is terminated when the corporation or LLC files an annual registration designating a new agent or on the 31st day after the statement was filed, whichever is first.
