How to resign as registered agent in Illinois:

To resign as registered agent from an Illinois Corporation, you submit in duplicate the completed Form BCA-5.15, Notice of Resignation of Resident Agent by mail or in person with the filing fee to either of the Illinois Secretary of State Offices.
To resign as the registered agent of an Illinois Limited Liability Company, you must send in LLC-1.35, Resignation of Registered Agent form, in duplicate, by mail or in person to the Illinois Secretary of State along with the filing fee.

Do you have to notify the Illinois entity you’re serving as registered agent for before you resign or after?

Yes, you send a copy of the notice to the principal office of the business at least 10 days prior to the date of filing. The Illinois Secretary of State will also notify the entity that they are required to find another registered agent who will consent to accept service of process within 30 days, or face administrative dissolution.

Is there a fee to resign as the Illinois resident agent for a corporation, LLC, or other business entity?

The filing fee is $5 to resign as registered agent from an Illinois Corporation, but the filing fee is $100 to resign from a limited liability company. The expedited processing fee for the notice of resignation is $50. You may only request an expedited resignation in person at the Springfield or Chicago offices.

How long will it take the state to process the Illinois resignation of registered agent filing?

Normal processing time in Illinois is approximately a week to ten days. Expedited processing is complete in 24 hours.

A registered agent resignation takes effect on the 30th day after the date that the resignation is filed by the Secretary of State, or sooner if the Illinois business hires a new registered agent.
