How to resign as registered agent in Iowa:

Iowa Secretary of State, Business Services Division (SOS) provides a form to resign as the registered agent for an Iowa corporation, but does not provide a form to resign as the agent for an Iowa LLC.  The Iowa registered agent for an LLC may draft their own letter of resignation.  The SOS accepts documents submitted by mail, fax, and hand delivery. Make checks for fees payable to Secretary of State.

Corporations:
Deliver a signed original Statement of Resignation of Registered Agent form to the Iowa SOS. You also have to send a copy of the statement by certified mail to the corporation at principal office and registered office.

LLCs:
Draft a statement of resignation that includes the LLC name and that agent is resigning. You also have to certify that you sent a copy of the statement to the LLC by certified mail to its principal office and registered office if it has one. Deliver a signed original statement of resignation to the Iowa SOS.

Do you have to notify the Iowa entity you're serving as registered agent for before you resign or after?

Corporation and LLCs:
Yes, you are required to notify the entity prior to filing and you must certify that you sent a copy of the resignation to the corporation. Send a copy by certified mail, return receipt requested. You are not required to give notice a certain number of days before filing, but the resignation you file with the SOS must include the date you sent the notice.

Is there a fee to resign as the Iowa registered agent for a corporation, LLC, or other business entity?
