How to resign as registered agent or clerk in Maine:
COMMERCIAL REGISTERED AGENT OR CLERK
A commercial registered agent or clerk can file a statement of resignation online for free. From the Maine Secretary of State, Division of Corporations homepage (see link below) just go the Commercial Clerk and Registered Agent Online Listing and Management Service. You need to have an InforME account and the number that was assigned to you by the Maine Secretary of State, Bureau of Corporations, Elections, and Commissions (SOS) when you were listed as a commercial clerk or registered agent.
NONCOMMERCIAL REGISTERED AGENT OR CLERK
A noncommercial registered agent or clerk can’t resign using the online system. A noncommercial registered agent or clerk would file a statement of resignation form with the Maine Secretary of State, Bureau of Corporations, Elections, and Commissions (SOS). The Maine SOS provides forms to resign as the noncommercial registered agent or clerk for a Maine corporation or LLC. Make sure you have the right form for the type of entity and agent or clerk.

Maine SOS resignation forms are fillable so you can just enter the information, print, and mail or deliver them to the SOS. Original signatures are required. The resigning registered agent/clerk will have to provide the name and address to which the agent will send the required notice.
You can request expedited processing by checking the box on the Filer Contact Cover Letter and including the additional fee. If you mail documents, write “Expedited Service” in the lower right hand corner of your envelope. You can also request expedited processing at the corporations division filing counter between 9 and 4 on business days. You can pay the expedite fee in cash or include a separate check, debit or credit card for each request.
Make checks payable to the Maine Secretary of State. You may pay by Visa, Discover, or MasterCard if you include a completed Credit Card Payment Voucher with your statement of resignation.
Do you have to notify the Maine entity you’re serving as registered agent for before you resign or after?
Commercial and noncommercial Maine registered agents/clerks need to notify the entity in writing promptly after filing the statement of resignation with the Maine SOS. There is no required timeframe, but:
- the statement of resignation submitted to the Maine SOS must include the name and address of the person where the registered agent or clerk will send notice; and
- the notice sent to the entity must include the date the registered agent/clerk submitted the resignation to the SOS.
Is there a fee to resign as the Maine registered agent for a corporation, LLC, or other business entity
The fee to file the Maine noncommercial registered agent/clerk resignation form is $35.
The additional fee for 24 hour expedited processing is $50.
The expedite fee for immediate processing is $100.

How long will it take the state to process the Maine resignation of registered agent filing?
Normally, it takes the SOS 5-10 business days to process the resignation.
Maine SOS also offers 24 hour or immediate expedited processing options.
How long do you still have to serve as the registered agent after the filing? How long will you have to legally accept service of process after you’ve resigned as agent?
The resignation of the Maine clerk or registered agent is effective either on the 31st day after it is filed or when the business entity appoints a new one. Once one of those things happens, the registered agent is no longer responsible for accepting service of process for the corporation or LLC.
