How to resign as a Massachusetts registered agent:
You can resign as the registered agent for a Massachusetts corporation or LLC by filing the paper form or by resigning online.
FORM:
The Massachusetts Secretary of the Commonwealth, Corporations Division (SOC) provides two forms for resigning as the registered agent for an entity. To resign as the registered agent of a corporation, you would file a Statement of Resignation of Registered Agent with the SOC. To resign as the resident agent of an LLC, file a Limited Liability Company Statement of Resignation of Resident Agent with the SOC.
Forms are available on the SOC website, but using those forms is not mandatory. The SOC requires that you type your information. You cannot fill in the forms by hand. Sign the completed form and submit it to the Massachusetts SOC by mail, fax or walk in. If you mail or walk in your statement of resignation; an original signature is required. If you mail documents, write what type of document is enclosed on the outside of the envelope. When you submit your documents by mail or in person, you can pay your fees with a personal check, cashier’s check, or money order. If you file in person you may also pay in cash. Checks, etc. should be payable to the Commonwealth of Massachusetts.
If you want to fax documents for filing, you will have to visit the Massachusetts SOC website to get a Fax Voucher Coversheet. From the SOC homepage click on “fax filing” then click “Create Fax Voucher Coversheet.” Fill in your contact and filing information and click “submit.” You will also have to provide your MasterCard, Visa, EFT, or debit card information. Print the confirmation/coversheet, put in on top of the statement of resignation, and fax the documents to the SOC.
ONLINE:
A resigning registered agent can file the statement of resignation online. You will need your Massachusetts SOC customer ID and PIN to resign online. Contact the SOC if you do not know this login information. Once you log on you can choose to resign as the agent for an entity.
Do you have to notify the Massachusetts entity you’re serving as registered agent for before you resign or after?
The resigning registered agent has to certify that they have provided a copy of the statement to the Massachusetts corporation or LLC. You can send the copy before or after you submit the statement to the SOC. There is no specific requirement; it just has to be sent around the same time.

There is a $25 fee to resign as a registered agent in Massachusetts if you file the paper form by mail, fax or in person.
There is no fee if you file the resignation online.
How long will it take the state to process the Massachusetts resignation of registered agent filing?
If you mail the statement of resignation it will be processed by the SOC in 3-5 business days. Walked-in documents are processed in 1-2 business days.
Faxed documents are usually processed the same business day but may take up to 48 hours if they are submitted on a weekend or after business hours.
Resigning online is the fastest option. Online filings are processed by the SOC almost immediately.
How long do you still have to serve as the registered agent after the filing? How long will you have to legally accept service of process after you’ve resigned as agent?
The Massachusetts registered agent’s authority to accept service of process is terminated on the 31st day after the statement is filed. At that time, the registered agent would no longer have to accept process for the Massachusetts corporation or LLC.
