How to resign as registered agent in Minnesota

Resign as an entity’s Minnesota registered agent by filing signed written notice of resignation with the Minnesota Secretary of State (SOS). The SOS does not provide a form resignation letter.

The Minnesota SOS accepts cash or check for paper filings and check or credit card for electronic filings.

Do you have to notify the Minnesota entity you’re serving as registered agent for before you resign or after?

A Minnesota registered agent must notify the entity before filing the resignation with the SOS. The written resignation the registered agent submits to the SOS must include a statement that a signed copy of the notice has been given to the business entity or its legal representative, but there is no statutorily defined timeframe for notice.

Is there a fee to resign as the Minnesota registered agent for a corporation, LLC, or other business entity?

The fee to resign as the Minnesota registered agent for most entities is $35.
The fee to resign as the Minnesota registered agent for a foreign corporation is $50.

How long will it take the state to process the New Mexico resignation of registered agent filing?

It takes the Minnesota SOS about 5 to 7 business days to process most documents. Filed documents are then mailed back to the business. You should receive the document within 7 to 10 business days after filing.

How long do you still have to serve as the registered agent after the filing?  How long will you have to legally accept service of process after you’ve resigned as agent?

The appointment of the agent terminates 30 days after the notice of resignation is filed with the secretary of state.
