How to resign as registered agent in Mississippi:

There are different resignation forms for Mississippi corporations and LLCs. Mississippi Secretary of State (SOS) provides fillable resignation of agent forms. Submit one copy of the form by mail or in person to the SOS. If you are resigning as the registered agent for a Mississippi LLC, include the filing fee payable to “Secretary of State.”

Mississippi LLC:
To resign as the registered agent of a Mississippi LLC, you file F0123-Certificate of Resignation of Registered Agent with the SOS. The registered agent has to sign the resignation. Attach an affidavit stating that at least 30 days prior to filing the certificate, the registered agent sent notice to the LLC by certified or registered mail.

Mississippi corporation:

To resign as a registered agent of a Mississippi corporation, you provide the completed form F0038-Statement of Resignation of Registered Agent to the Secretary of State. You have to file the signed original and two exact copies of the statement, so the SOS can forward them to the corporations principal and registered offices.

Do you have to notify the Mississippi entity you're serving as registered agent for before you resign or after?

Mississippi LLC:
You will have to send notice by certified or registered mail to the LLCs last known principal office address (and registered address if they have one) at least 30 days before you file the certificate of resignation with the SOS.

Mississippi corporation:
You don't have to notify the corporation of the resignation before you file. The SOS will mail one copy of the statement of resignation to the corporation's principal office and the other copy to the registered office (if it has one).

How long will it take the state to process the Mississippi resignation of registered agent filing?

Mississippi SOS takes 24-48 hours to process your documents.
The SOS does not have an expedite service.
Filing in person can do away with mail time but the SOS will not process your resignation any faster than usual.

Once documents are filed, you will be able view them online by going to the Mississippi SOS Business Services website. Then you can just do a search for your business.

How long do you still have to serve as the registered agent after the filing? How long will you have to legally accept service of process after you've resigned as agent?

Mississippi LLC:
The resignation becomes effective 90 days after the certificate is filed. After 90 days, the registered agent is no longer obligated to accept service for the LLC.

Mississippi corporation:
The registered agent's appointment ends on the 31st day after you file the statement with the Mississippi SOS. After that, the registered agent does not have to accept service of process for the corporation.
