How to resign as registered agent in Nebraska:

File a statement of resignation of registered agent and two copies with the Nebraska Secretary of State (SOS).  There is no form letter to resign as a Nebraska registered agent.

Do you have to notify the Nebraska entity you’re serving as registered agent for before you resign or after?

You do not have to notify the Nebraska entity that you have resigned.  After filing the statement, the Nebraska SOS will mail one copy to the registered agent and the other copy to the business at its principal office.

Is there a fee to resign as the Nebraska registered agent for a corporation, LLC, or other business entity?

Corporation: no fee to resign as registered agent

LLC: $10 filing fee plus an additional $5 per page recording fee; so you will pay $15 total

How long will it take the state to process the Nebraska resignation of registered agent filing?

Processing takes 2-3 days. The Nebraska SOS does not offer expedited processing.

How long do you still have to serve as the registered agent after the filing? How long will you have to legally accept service of process after you’ve resigned as agent?

If you are resigning as the Nebraska registered agent for a corporation or for a limited liability company organized before January 1, 2011, the appointment is terminated thirty-one days after the date of filing.

If you are resigning as the Nebraska registered agent for a limited liability company organized on or after January 1, 2011 the resignation takes effect thirty one days after filing or when a document designating a new agent for service of process is filed and becomes effective, whichever comes first.
