How to resign as registered agent or clerk in North Carolina:

There is one form to resign as the registered agent for a North Carolina business entity. File form BE-07, Statement of Resignation of Registered Agent with the North Carolina Secretary of State, Corporations Division (SOS). Include a Coversheet for Corporate Filings form. The coversheet is required for over-the-counter filings but it is always a good idea because you can choose how you want documents returned and if there is a problem with your filing, the SOS will email you. You will not need to include payment with the statement of resignation.

Do you have to notify the North Carolina entity you’re serving as registered agent for before you resign or after?

Yes. You have to notify the business entity at it last known address. Before you file the statement of resignation with the SOS you will have to mail or deliver written notice to the entity. There is no required timeframe for this process, as long as you send the notice before you file the statement of resignation with the SOS.

The statement of resignation will require you to provide the address where you notified the entity of the resignation. Then, after you file the statement of resignation, the SOS will mail a copy of the Statement of Resignation to the entity at its registered and principal offices. If that information is not on record, the SOS will send the copy to the address on the registered agent’s statement of resignation.

Is there a fee to resign as the North Carolina registered agent for a corporation, LLC, or other business entity

There is no fee to resign as a registered agent in North Carolina.

How long will it take the state to process the North Carolina resignation of registered agent filing?

Regular processing takes North Carolina SOS seven to ten business days.
Same day expedited processing is available for an additional $200 fee.
24 hour expedited processing is available for an additional $100 fee.

How long do you still have to serve as the registered agent after the filing? How long will you have to legally accept service of process after you’ve resigned as agent?

The appointment is terminated on the 31st day after the registered agent files the statement of resignation with the SOS. On that day, the registered agent no longer has to accept service of process for the corporation or LLC.
