How to resign as registered agent in Tennessee:

A registered agent may resign by filing a signed original Resignation of Registered Agent with the Tennessee Department of State, Division of Business Services (DBS). When you submit the resignation to DBS, it has to include a statement that the registered agent mailed a copy of the resignation to the business’s principal office by certified mail. DBS offers forms for resignation, but using DBS forms is not required. You may choose to draft your own resignation.

  • LLCs: Form #SS-4427, Resignation of Registered Agent

Include a check, cashier’s check, money order etc., payable to the “Tennessee Secretary of State” with the resignation of agent.

Do you have to notify the Tennessee entity you’re serving as registered agent for before you resign or after?

Yes, you must certify that you sent a copy of the resignation to the business’s principal office prior to filing it with DBS.  The Tennessee statute does not specify when you have to send the copy of the resignation.

Is there a fee to resign as the Tennessee registered agent for a corporation, LLC, or other business entity?

There is a $20.00 filing fee to resign as the Tennessee registered agent for any type of business entity.

How long will it take the state to process the Tennessee resignation of registered agent filing?

If you mail your documents, they are processed in 3-5 business days.
If you deliver documents in person DBS will process them while you wait.
Tennessee DBS does not offer expedited processing.

How long do you still have to serve as the registered agent after the filing? How long will you have to legally accept service of process after you’ve resigned as agent?

The resignation will be effective on the day it is filed by DBS. If DBS accepts the resignation, the filing date will be the date it was received and stamped by DBS.

What Tennessee agency do you have to resign with?

You will deliver the resignation of agent with the Tennessee Department of State, Division of Business services by mail or in person.
