To resign as registered agent in Texas, you provide the completed Form 402, Statement of Resignation of Registered Agent in duplicate to the Secretary of State by mail, fax or in person. You will first have to send written notice of the resignation to the business at their most recently known address prior to filing.
Sometimes a business will designate a registered agent without the agent’s consent. Texas offers a Rejection of Appointment form if an agent learns of such an unauthorized designation.

agent?

Texas statutes do not specifically address the question of how long you must legally accept service for a business after you have resigned as agent. However, it is commonly considered the Texas registered agent’s obligation to accept service for 30 days after resignation.
If a company is terminated for any reason, a registered agent’s responsibility is to the entity, not individuals owning the entity. A Texas registered agent is not obligated to accept service for a terminated entity. |
