How to resign as registered agent in Vermont:

To resign as the registered agent for a Vermont corporation or LLC, file a signed statement of resignation (and two exact copies) with the Vermont Secretary of State, Corporations Division (SOS). There is no Vermont SOS statement of resignation form. Draft a statement of resignation which includes a statement that the resigning registered agent has mailed or delivered notice to the corporation or LLC and the address where notice was sent. You can submit the registered agent’s statement of resignation to the SOS by mail or in person. The Vermont SOS requires original signatures so you cannot fax the statement or submit it online.

Do you have to notify the Vermont entity you’re serving as registered agent for before you resign or after?

Yes, you do have to send notice to the Vermont corporation or LLC before you file the statement of resignation with the SOS. The Vermont SOS does not require you to send the notice any particular length of time in advance of filing the statement of resignation. As long as the business entity is notified of the resignation so it can appoint a new registered agent, then the requirement is met.

The notice of resignation that you send to the corporation or LLC can simply be a copy of the statement of resignation. Send it to the entity’s principal address and then file the statement with the Vermont SOS.
