How to resign as registered agent in Wyoming:

Wyoming has two registered agent resignation forms. If you are resigning without a successor registered agent being appointed, your first step is to notify the business entity of your resignation. A resigning registered agent is required to give notice to the represented business thirty days prior to filing the Statement of Resignation of Registered Agent. You submit this form in duplicate to the Secretary of State by mail or in person.

If a replacement registered agent is being appointed, you submit the Statement of Resignation of Registered Agent Successor Appointment to the Secretary of State in duplicate by mail or in person. Original signatures are required on these forms. The Successor Appointment form has a Statement of Change By Business Entity attached as page two that must be completed and signed by an authorized individual of the business.
If the resigning registered agent office address is on file as the principal office address of the entity, the registered agent will also need to file an Update Form changing the address to the last known address of the business. The Update Form is found on the Wyoming business forms page at the link below under “Miscellaneous,” or it can be found in your online account if you hire Northwest.

Do you have to notify the Wyoming entity you’re serving as registered agent for before you resign or after?

Wyoming requires a registered agent to certify that notice of the resignation was sent to an officer or controlling member of the business entity at its last known address thirty days before the filing of the resignation with the Wyoming Secretary of State.

Is there a fee to resign as the Wyoming registered agent for a corporation, LLC, or other business entity?

There is no fee required in Wyoming to resign as registered agent.

How long will it take the state to process the Wyoming resignation of registered agent filing?

Wyoming Secretary of State processes all documents in one week maximum and usually sooner. They do not offer expedited processing service.
You will receive a file stamped copy by mail. You will also be able to verify your document has been filed directly from their website.

How long do you still have to serve as the registered agent after the filing? How long will you have to legally accept service of process after you’ve resigned as agent?

The resignation takes effect immediately upon filing the statement of resignation, because you have certified that you notified the business of the resignation thirty days prior to the filing.
