How to reinstate an Arizona Corporation:

To reinstate an Arizona Corporation, you must file Form CF: 0047 Application for Reinstatement with the Arizona Corporation Commission (ACC) by mail, fax or in person. The form and required cover letter are both available online (see link below).  Both forms are also in your online account when you sign up for Arizona statutory agent service.

How much will it cost to reinstate an Arizona Corporation?

It costs $100 to reinstate an Arizona corporation. If you want expedited filing, it costs an additional $35.

How long does it take the state to process the filing?

Normal processing: 20 business days
Expedited processing: 3 business days

How long does your Arizona Corporation have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Arizona Corporation?

If your Arizona Corporation is dissolved, the reinstatement period is six years from the date of dissolution.  During that time, fees for unfiled annual reports will continue to add up.  After six years, you wouldn’t have any fees due and you would have to start over with a new corporation. Remember, once the Corporation is dissolved, your name will be held for six months.  If you have not been reinstated in that time, you may lose your corporation’s name to someone else.

Can you change your Arizona statutory agent at the same time on the Arizona reinstatement?

There is no place on the form to change your Arizona statutory agent. Instead, file Form AR: 0009, Statement of Change of Known Place of Business or Statutory Agent. It is available online (see link below).

Can you change your principal address at the same time on the Arizona reinstatement form?

You can’t change your principal address on the reinstatement form.  Instead, file Form AR: 0009, Statement of Change of Known Place of Business or Statutory Agent. It is available on the ACC website (see below).

Can you change your officers and directors at the same time on the Arizona reinstatement form?

No. The only way to change your Arizona Corporation’s officers and directors is to file an amendment to the Articles of Incorporation.

How many annual reports can you miss before you can’t revive your Arizona Corporation?

If you corporation is administratively dissolved by the ACC, the reinstatement period is six years. After that time, you would have to form a new business.
