How to reinstate an Idaho Limited Liability Company:

There is no form available on the Secretary of State Website for reinstating your Idaho LLC. However, if you contact the Idaho Secretary of State’s office at (208) 334-2301, they will provide you with two forms; a Reinstatement Annual Report form and Application for Reinstatement.  You will have to submit both together in duplicate, along with the filing fee by mail, fax or in person.

How much will it cost to revive an Idaho LLC?

To revive your Idaho Limited Liability Company, you just pay a straight $30 filing fee. Idaho has no penalties or interest for back annual reports. After 10 years from your dissolution date, you will have to start over with the normal Idaho Certificate of Organization filing fee.

Expedited service is available for an additional $20 fee.

How long does it take the state to process the filing?

Document processing in Idaho is finished in approximately one week. If you request expedited handling, your document will be processed in approximately one day.

You will receive a confirmation copy of the change by mail. You will also be able to print a copy directly from their website.

How long does your Idaho LLC have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Idaho LLC?

In Idaho you can reinstate your business for ten years after dissolution. After ten years, you will need to start over and re-file as a new company.

Can you change your Idaho registered agent at the same time on the Idaho reinstatement?

Yes, new registered agent information goes in block 3 of the Reinstatement Annual Report form.

Can you change your principal address at the same time on the Idaho reinstatement form?

Yes, you correct your address in block 1 of the Reinstatement Annual Report form.

Can you change your members and/or managers at the same time on the Idaho reinstatement form?

Yes, enter any members and/or managers you wish in block 4 of the Reinstatement Annual Report form.

How many annual reports can you miss before you can’t revive your Idaho LLC?

You can miss up to ten annual reports before you can no longer revive your Idaho Company. If you wish to restart your Idaho Company more than ten years after your dissolution date, you must re-file as a new company and hope your old company name is still available.
