How to reinstate an Illinois Limited Liability Company:

To reinstate your domestic LLC in Illinois you must complete the LLC-35.40, Reinstatement following Administrative Dissolution form and deliver it in duplicate, by mail or in person to the Illinois Secretary of State along all delinquent annual reports and fees. The only option if you voluntarily filed Articles of Dissolution is to file new Articles of Organization with the Secretary of State with the filing fee. These articles can be filed online or mailed in.

How much will it cost to revive an Illinois LLC?

A Reinstatement following Administrative Dissolution requires a $500 filing fee plus all back annual reports must be filed at the same time and the accompanying fees. Articles of Organization also call for a $500 filing fee. $600 if filed online. You may request a reinstatement be expedited in person for an additional $100 at the Springfield or Chicago offices.

How long does it take the state to process the filing?

Regular processing is one week to ten days. You may expedite the processing in person for an additional $100, which ensures 24-hour processing if all back annual reports and fees are in order.

How long does your Illinois LLC have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Illinois LLC?

An Illinois Limited Liability Company that has been administratively dissolved may apply for reinstatement at any time. There is no time period after which the Illinois Secretary of State would require you to start over. If you voluntarily file articles of dissolution however, you cannot apply for reinstatement. You will have to start over in that case.

Can you change your Illinois registered agent at the same time on the Illinois reinstatement?

No. Once your reinstatement is processed in Illinois, you then file a Statement of Change of Registered Agent.

Can you change your principal address at the same time on the Illinois reinstatement form?

No. The Application for Reinstatement relates only to the curing of the grounds of the LLC’s administrative dissolution.

Can you change your members and/or managers at the same time on the Illinois reinstatement form?

No.

How many annual reports can you miss before you can’t revive your Illinois LLC?

Illinois has no limit to the number of annual reports you are allowed to miss and still revive.
