How to reinstate an Iowa Corporation:

It is really simple and inexpensive to reinstate an Iowa corporation. If your Iowa corporation was administratively dissolved and you wish to continue your business, file the Iowa Application for Reinstatement with the Iowa Secretary of State, Business Services (SOS). A corporation that has been administratively dissolved may apply for reinstatement at any time after the dissolution. 

Iowa SOS requires you to use official forms when they are provided. The application must include any missing biennial reports and payment for delinquent costs and fees. The SOS accepts documents submitted by mail, fax, or hand delivery.  Make checks for fees payable to the Secretary of State.

Do I need a tax clearance certificate to reinstate an Iowa corporation?

The Secretary of State will check with the Department of Revenue and the Department of Workforce Development to determine whether the corporation is in good standing. If the corporation is delinquent, it will not be reinstated until the delinquency is remedied.

An Iowa corporation can reinstate any time after dissolution. There is no time limit. However, you can start over by creating a new Iowa corporation.  Remember that the corporate name is protected for five years after administrative dissolution, so if you start a new business, you can’t use the same name unless it has been five years. One loophole is that if you formally dissolve the administratively dissolved corporation with the SOS, the name becomes available immediately. The filing fee for Articles of Incorporation is $50.

You can't change your Iowa corporations registered agent as part of reinstatement. There is no place on the reinstatement form to change the Iowa registered agent. If you were dissolved for failure to maintain an Iowa registered agent, you must include a change of agent form and fees when you submit the reinstatement form.
