How to reinstate an Iowa Limited Liability Company:
It is really cheap and easy to continue your administratively dissolved LLC. An Iowa LLC that has been administratively dissolved may apply for reinstatement any time after dissolution. Simply submit one copy of the Iowa Application for Reinstatement to the Iowa Secretary of State, Business Services Division (SOS). Official SOS forms must be used for reinstatement. An Iowa LLC that was dissolved for failure to submit the biennial report and/or fees must submit all the delinquent reports and fees with the application. The Iowa SOS accepts documents for filing by mail, by fax, or in person. Make checks for fees payable to the Secretary of State.

Do you need a tax clearance letter to reinstate an Iowa LLC?
Reinstatement does require clearance from the Department of Revenue and the Department of Workforce Development. However, the Secretary of State will contact both departments and if you are delinquent, the SOS will not reinstate your LLC until you remedy the delinquency.

There is no limit on the reinstatement period for Iowa LLCs, so you can reinstate your company for just $5 plus biennial report fees at any time. If the application for reinstatement is submitted to the SOS more than five years after the effective date of the administrative dissolution, your name is no longer protected and you will have to choose a name that is not being used by someone else.
You can start a new Iowa LLC anytime, but you can’t use the same name unless it has been at least five years. The exception is that if you formally dissolve the administratively dissolved LLC by filing with the SOS. Then the name would become available immediately. You can't change your Iowa LLCs registered agent when you apply for reinstatement. There is no place on the reinstatement form to change the Iowa registered agent. If you were dissolved for failure to maintain an Iowa registered agent, you must include a change of agent form and fees with the application.
