How to reinstate a Kansas Corporation:

Kansas allows both foreign and domestic corporations to reinstate following involuntary dissolution. If a corporation forfeits its authority for failure to file an annual report or to pay the fee, the corporation may be reinstated by submitting a Kansas Corporate Certificate of Reinstatement, the past due annual report(s), and all fees and penalties, due to the SOS.  All the required documents must be in one envelope.

Domestic Kansas corporations that dissolve voluntarily may resume business if they file a Certificate of Revocation of Dissolution with the SOS within three years following dissolution.

Submit one original for filing.  After processing, it will be mailed to the corporation. 
Fax filing is allowed for an additional $20 fee

How much will it cost to reinstate a Kansas Corporation?

In order to reinstate your Kansas corporation, you will have to pay a $35 filing fee, an $85 penalty fee, and any past due annual report or franchise taxes.  The annual report/franchise fee varies depending on the year the report was due.

If you update the mailing address on an annual report filed with the reinstatement, you do not have to include the change of address form.
