How to reinstate a Mississippi corporation:

Mississippi corporations can reinstate at any time following administrative dissolution. If you want to continue your Mississippi corporation, you have to file form F0022-Application for Reinstatement following Administrative Dissolution/Revocation with the Mississippi Secretary of State (SOS). Include all your delinquent annual reports and fees. You would also have to include certification that the corporation has paid all taxes from the Mississippi Department of Revenue (formerly the Mississippi State Tax Commission). Your check for fees should be payable to the "Secretary of State."

Yes, you need to get tax clearance from the Mississippi Department of Revenue before you can reinstate your Mississippi corporation.

How do you get the Department of Revenue tax clearance certificate?

To get the tax clearance certification, you fill out the Request for Certification form. The request is page two of the Mississippi SOS Application for Reinstatement. Then you can either mail or fax it to the Mississippi Department of Revenue. If you fax it in, they can have the clearance processed the same day. They will mail or fax you two copies of the clearance. Submit one to the Secretary of State with your application for reinstatement.

Mississippi SOS takes 24-48 hours to process your documents.
Mississippi SOS does not offer expedited processing.
You can cut out mail time by filing in person, but it will still take the SOS 24-48 hours to process your documents.

Once your documents are filed, you can view them online by going to the SOS Business Services Formation and Search webpage and clicking the "Search Listings" link. Then you can search for your business name, ID, officers or registered agent to see the corporations filed documents.
