How to reinstate a Mississippi limited liability company:

The old Mississippi LLC act did not provide for annual reports, administrative dissolution or reinstatement. Although the new Mississippi LLC Act of 2010 sets out the procedure and fee for reinstatement, the Mississippi Secretary of State (SOS) has not yet created an application form or worked out the details. The administrative dissolution, reinstatement, and fee portions of the new act apply to all Mississippi LLCs regardless of when they were formed.

The Mississippi LLC annual report requirements went into effect Jan. 1, 2011, and the administrative dissolution and reinstatement portions of the act became effective until Jan. 1, 2012. We do know that the process will be very similar to that for reinstating a Mississippi corporation following administrative dissolution.

How much will it cost to revive a Mississippi LLC?

The filing fee to reinstate a domestic Mississippi LLC will be $50.

How long does it take the state to process the filing?

Mississippi SOS takes 24-48 hours to process documents.
Mississippi SOS does not offer expedited processing.
You can walk in your documents to avoid mail time, but the SOS won't process those any faster.

Once documents are filed, you can view them online by going to the SOS Business Services website and click the "Search Listings" link. Then you can search by your business name, ID, officers or registered agent to see your LLCs filed documents.

How long does your Mississippi LLC have to be inactive with the state before you wouldn't have any fees, and would just have to start over with a new Mississippi LLC?

According to the new LLC act, you can reinstate your Mississippi LLC at any time after administrative dissolution. So you could always just pay your reinstatement fees and continue your business.

Can you change your Mississippi registered agent at the same time on the Mississippi Certificate of Restoration?

Mississippi SOS has not yet published a Mississippi LLC reinstatement form. To change your LLCs registered agent or office, use Mississippi form F0121-Registered Agent/Office Statement of Change.
