Reinstatement documents can be submitted to Secretary of State’s by mail or in person.  If you submit documents by mail, include a cover letter with contact information including your phone number.

How much will it cost to revive a Nebraska Corporation?

Your Nebraska corporation can be reinstated by filing the Application for Reinstatement form for Nebraska corporation along with the delinquent report and fees.  You must also include a $25 filing fee.

How long does it take the state to process the filing?

Processing takes 2-3 days. The Nebraska SOS does not offer expedited processing.


How long does your Nebraska corporation have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Nebraska corporation?

Nebraska does not put an explicit limit on the reinstatement period for Nebraska corporations.  This means that you can reinstate your Nebraska corporation indefinitely.  It also means that you will have to pay all the fees and taxes that you owe before you can continue conducting business.

Can you change your Nebraska registered agent at the same time on the Nebraska reinstatement?

How many biennial reports can you miss before you can’t revive your Nebraska corporation?

Nebraska does not have a limit on the reinstatement period. Therefore, your Nebraska corporation could be reinstated at any time and you would have to pay the full amount of fees.  However, your corporate name is protected for one year after administrative dissolution. After one year, you could create a new corporation with the same name to avoid paying reinstatement fees.
