How to reinstate a Nebraska Limited Liability Company:

The form to reinstate a Nebraska LLC is not available online. It is kept in house by the SOS and only sent out when a Nebraska LLC sends a request for the form along with the delinquent report and total of fees due.

Documents can be submitted for filing by mail or in person at the Secretary of State's Office.  If you submit documents by mail, include a cover letter with contact information including your phone number.

How much will it cost to revive a Nebraska LLC?

A limited liability company must pay all delinquent fees, plus a $115 application fee and the $10biennial fee, to be reinstated.

How long does it take the state to process the filing?

Processing takes 2-3 days. The Nebraska SOS does not offer expedited processing.

How long does your Nebraska LLC have to be inactive with the state before you wouldn't have any fees, and would just have to start over with a new Nebraska LLC?

Nebraska does not expressly limit the reinstatement period. So, your Nebraska LLC can be reinstated at any time after the certificate is revoked.  This means that those fees would never go away and you would have to pay the full amount to be reinstated.

Can you change your Nebraska registered agent at the same time on the Nebraska reinstatement?

No, you must fill out a change of agent/office form and pay the fee to update those records.

Can you change your principal address at the same time on the Nebraska reinstatement form?

Nebraska SOS requires you to fill out the change of agent/office form to change your address in their records.

Can you change your members and/or managers at the same time on the Nebraska reinstatement form?

No.

How many annual reports can you miss before you can't revive your Nebraska LLC?

Nebraska does not explicitly limit the reinstatement period. You can always revive your Nebraska LLC, so if you want to continue doing business after missing biennial reports or fees, you will have to pay them first. But your name is only protected for one year following administrative dissolution, so after one year, you could create a new llc with the same name to avoid paying the costs of reinstatement.
