Reinstatement of a New Jersey LLC with New Jersey Division of Revenue

How to reinstate a New Jersey Limited Liability Company:

The reinstatement process for New Jersey LLCs is now entirely online. You can submit all the necessary information and fees by visiting the New Jersey Division of Revenue’s Online Reinstatement Service (see link below). You will need to know your LLCs New Jersey business entity number and filing date which you can look up using the Division of Revenue’s online business entity status search.

Do you need to get a tax clearance certificate from the New Jersey Division of Taxation?

No. New Jersey LLCs do not need clearance from the Division of Taxation to reinstate.

How much will it cost to reinstate a New Jersey LLC?

The LLC will have to pay the fees for all delinquent annual reports and one current annual report. The fees for late reports could vary but the current report will cost $50. There is a $75 reinstatement filing fee plus a $200 late filing fee. Your total fees will be calculated for you during the online reinstatement process. Basically, if you have only missed 2 annual reports, you are looking at $375 to reinstate your New Jersey LLC.

If you need to change the LLCs New Jersey registered agent, it will cost an additional $25.

How long does it take the state to process the filing?

The LLC is reinstated as soon as the online process is complete. The reinstatement is effective immediately and the LLC is returned to active status.

How long does your New Jersey LLC have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new New Jersey LLC?

You wouldn’t have to start over with a new LLC because you can reinstate at any time. In some states you can just let your corporation be administratively dissolved by the state agency. New Jersey is different. Even if the LLC is in revoked status, you are not conducting business, and you want to end the LLC; annual taxes continue to add up until the LLC officially dissolves. To dissolve a revoked LLC, you will still have to file and pay for the outstanding annual reports and follow the Division of Revenue procedure to dissolve the LLC.

You could file a new LLC with the New Jersey Division of Revenue, but the New Jersey Division of Taxation will still try to recover any of the old LLCs unpaid taxes so it’s not a great way to avoid paying old fees.

Can you change your New Jersey registered agent at the same time on the New Jersey reinstatement?

Everything is done online, and if you need to change the registered agent you can do so. You will have to pay the additional $25 filing fee.

Yes. You can update your business address during the online reinstatement process.

Can you change your members and/or managers at the same time on the online reinstatement?

You can change member and manager information when you complete the online reinstatement.

What if my business name is no longer available when I reinstate my New Jersey LLC?

There is a name availability search feature you may use during the online reinstatement session. If your New Jersey LLCs name is not available when you reinstate, you will have to pick a new name and file an amendment to change the LLCs name. You will also have to pay the amendment filing fee.

How many annual reports can you miss before you can’t revive your New Jersey LLC?

You can reinstate a New Jersey LLC at any time. You just have to submit the reinstatement fee, all annual report fees, and late fees.
