How to reinstate a New Mexico Corporation?

If you want to reinstate your New Mexico Corporation, file Form NMPRC-RI, Application for Reinstatement. The form is available online (see link below). The application is also in your online account when you sign up for registered agent service with Northwest.
New Mexico requires original signatures so you can only file by mail or in person.

How much will it cost to revive my New Mexico Corporation?

The filing fee for an application for reinstatement is $200. 
Expedited filing is available.  Your withdrawal can be processed on the day it is received (if before 2:00 pm) for an additional fee of $300. You withdrawal can be processed within two days of receipt for an additional $200. If you choose expedited filing, remember to attach the Request for Expedited Filing and separate payment.  The request form is online (see link below) and is available in your account when you sign up for registered agent service with Northwest.

How long does it take the state to process a New Mexico Corporation reinstatment?

Normal Processing: Up to 1 month
Expedited Processing: New Mexico offers same day or two day expedited processing

How long does your New Mexico Corporation have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new New Mexico Corporation?

After the reinstatement period of two years, the Corporation would be terminated and you would have to start over by creating a new business.

Changes to officers and directors must be filed on the biennial report or a supplemental report within 30 days of the change.

How many biennial reports can you miss before you can’t reinstate your New Mexico Corporation?

The reinstatement period for a New Mexico Corporation is two years from the date of revocation. After that, a corporation would be administratively dissolved and would have to form a new corporation.
