How do I reinstate a New Mexico Limited Liability Company?

When the Public Regulation Commission (PRC) administratively revokes a domestic LLC, they notify the company of its right to reinstatement.  The New Mexico LLC may apply to the PRC for reinstatement within two years of the effective date of the revocation.  If the PRC determines that the grounds for revocation did not exist or have been eliminated, they will issue a certificate of reinstatement. You may use the corporate form NMPRC-RI, Application for Reinstatement (see link below).  The application is also in your online account when you sign up for registered agent service with Northwest.  Alternatively, you may simply submit a letter along with the delinquent fees, information, etc.

New Mexico requires original signatures so they only accept documents delivered by mail or in person.

How much will it cost to revive a New Mexico LLC?

Your New Mexico LLC can usually be reinstated by simply filing with the PRC any delinquent fees and information along with a statement indicating you wish to be reinstated.

How long does it take the state to process the filing?

Normal Processing Time: Up to 1 month.
Expedited Processing Time: choose same day or two day processing.

How long does your New Mexico LLC have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new New Mexico LLC?

After the two year reinstatement period is over, a New Mexico LLC would have to start over and form a new entity.

Can you change your New Mexico registered agent at the same time on the New Mexico reinstatement?

To change your LLCs New Mexico registered agent, file DPR-RAA, Statement of Change of Registered Office or Registered Agent, or Both, with the New Mexico Public Regulation Commission - Corporations Bureau (PRC).

Can you change your principal address at the same time on the New Mexico reinstatement form?

To change your LLCs principal address, file DPR-RAA, Statement of Change of Registered Office or Registered Agent, or Both, with the New Mexico PRC.

Can you change your members and/or managers at the same time on the New Mexico reinstatement form?

The only way to change your LLCs members or managers is by filing an amendment.

How many biennial reports can you miss before you can’t revive your New Mexico LLC?

New Mexico LLCs are not required to file the biennial report, but the two year reinstatement period applies.
