To reinstate your domestic LLC in Oklahoma you must complete the Application for Reinstatement form and deliver it by mail or in person to the Oklahoma Secretary of State along with all delinquent annual certificates and fees.

There is no filing fee for an Application for Reinstatement, just the delinquent annual fees.

How long does it take the state to process the filing?

Regular processing is approximately one week. You may expedite the processing for an additional $25, which usually ensures one-day processing if all back annual certificates and fees are in order.

How long does your Oklahoma LLC have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Oklahoma LLC?

An Oklahoma Limited Liability Company that has been inactive less than three years may apply for reinstatement. After three years time you will be automatically dissolved and the Secretary of State will require you to start over again as a new company.

Can you change your Oklahoma registered agent at the same time on the Oklahoma reinstatement?

No. Once your reinstatement is processed in Oklahoma, you then file a Change of Registered Agent.

Can you change your principal address at the same time on the Oklahoma reinstatement form?

No. The Application for Reinstatement relates only to the curing of the grounds of the LLC’s not good standing status.
