Revival of Wisconsin LLC with Wisconsin Department of Financial Institutions

How to reinstate a Wisconsin Limited Liability Company:

If your Wisconsin limited liability company was administratively dissolved by the Department of Financial Institutions (DFI) because you didn’t file your annual reports or fees, you can easily reinstate your LLC. You must file the Certificate of Reinstatement. Use of the DFI form is mandatory. The form is not available on the DFI website, so first you have to request an application for reinstatement from the Wisconsin Department of Financial Institutions: Division of Corporate and Consumer Services (DFI). Then just file the certificate form and a current annual report with the DFI.

Make checks for reinstatement and annual report related fees payable to the Department of Financial Institutions.

Submit the original application for reinstatement  and one exact copy by mail, commercial delivery, or in person to:

Do I need Wisconsin Department of Revenue tax clearance to reinstate my LLC?

Reinstatement of a Wisconsin LLC does not require a tax clearance certificate from the Department of Revenue.

How much will it cost to revive a Wisconsin LLC?

You must file your past annual reports and pay any unpaid fees to reinstate your Wisconsin LLC.
LLC annual reports cost $40 each.
You must also pay a $100 filing fee to apply for reinstatement.
Filing may be expedited for an additional $25 fee.

How long does it take the state to process the filing?

Normal processing takes the Department of Corporate and Consumer Services about 5 business days.
If you have processing expedited, it will be done by the close of business the next business day. Make sure you clearly mark documents “for expedited processing”

How long does your Wisconsin LLC have to be inactive with the state before you wouldn’t have any fees, and would just have to start over with a new Wisconsin LLC?

Since there is no time limit for reinstatement, a Wisconsin LLC may reinstate at any time by filing the appropriate form, fees, and annual report. However, dissolved LLCs don’t have any name protection, so another business could take your LLCs name while you are in dissolved status.

Can you change your Wisconsin registered agent at the same time on the Wisconsin reinstatement?

No, but if you are filing a late annual report, you can change your Wisconsin registered agent on that form.

Can you change your principal address at the same time on the Wisconsin reinstatement form?

The only way to change your principal address is on the annual report. If you are filing a delinquent annual report with your reinstatement application, use the report form to change the address.

Can you change your members and/or managers at the same time on the Wisconsin reinstatement form?

There is no place to put that information on the reinstatement form and Wisconsin LLCs are not required to report the names of members to the DFI.

How many annual reports can you miss before you can’t revive your Wisconsin LLC?

There is no time limit for reinstating a domestic Wisconsin LLC. This means that even after you’ve missed several annual reports, you can still reinstate your business by submitting the application and a current annual report to DFI.
